Chapter 10 - THE MIDNIGHT TRANSFER

The document was discovered in Ethan’s digital signature history.
At eleven thirty-eight the previous night, he had approved an emergency voting proxy.
Vivian had told him it was necessary to protect the company during the wedding and honeymoon.
Ethan had signed without reading the full attachment.
The proxy granted Vivian control of Ethan’s shares for ninety days.
It also allowed her to remove executives, access reserve accounts, and negotiate company assets.
Luke stared at his oldest friend.
“You signed away control of Mercer Hotels on the night before your wedding?”
Ethan did not defend himself.
“I trusted her.”
Claire looked at the bruise forming across her cheek.
“Trust without judgment is just permission.”
Natalie contacted the board.
Vivian’s attorneys had already submitted the proxy.
Thirty minutes before entering Whitman House, Vivian had authorized the transfer of four flagship hotels to Vane Capital.
The sale price was less than half their value.
Vane Capital was controlled through a chain of companies.
One director appeared repeatedly.
Jonathan Whitman.
Claire turned toward her father.
Jonathan shook his head.
“I have never heard of Vane Capital.”
Detective Ortiz examined the registration documents.
“Your signature appears on them.”
“It is forged.”
Claire studied the handwriting.
The signature looked identical to the one on her childhood documents.
Jonathan’s face tightened.
“Vivian kept my old passport and legal papers.”
Luke checked the scheduled transfer.
“The sale closes at nine tomorrow morning.”
“If it closes, what happens?” Claire asked.
“Mercer Hotels loses its most valuable properties.”
Natalie continued reviewing the filings.
“The company will default on its loans.”
Ethan understood first.
“She is not protecting the company.”
“No,” Luke said.
“She is destroying it before anyone can remove her.”
Detective Ortiz contacted the financial-crimes division.
A court order could freeze the transaction, but the evidence needed to be authenticated.
Thomas’s original statement was unsigned.
The bank transfers proved money had moved.
They did not prove who controlled every receiving company.
Jonathan offered to testify.
Ortiz warned that doing so would expose his own crimes.
“I have spent half my life hiding,” he said.
“I am finished.”
Claire watched him.
Part of her wanted to believe him.
Another part remembered every birthday, graduation, funeral, and lonely morning he had missed.
Ethan received an alert from the company’s emergency system.
Vivian had called a special board meeting for eight the next morning.
She planned to remove him as chief executive one hour before the sale closed.
Luke looked at Claire.
“The spouse clause would override the proxy.”
Claire shook her head.
“There is no marriage.”
Ethan’s eyes met hers.
He did not ask her to change that.
Natalie examined the trust again.
“Thomas included another safeguard.”
Everyone turned toward her.
“If the intended spouse refuses the marriage because of misconduct by a Mercer trustee, she receives temporary investigative authority.”
Claire stared at the page.
“How long?”
“Seventy-two hours.”
Luke checked the time.
The authority would begin the moment Claire signed a formal refusal.
It would expire at nine fifteen on Monday morning.
